This EULA governs your purchase and use of the MiPBX App software (“Software”) directly from MITEK or through an authorized reseller/distributor of MITEK (“Reseller”).

Please read this agreement carefully before completing the installation and using the MiPBX application. This document grants the right to use the Software and contains warranty information and legal disclaimers.

If you register for a free trial of the MiPBX application, this EULA will also apply to that trial version. By installing and/or using the Software, you confirm your acceptance of and agreement to be bound by the terms of this EULA.

If you are entering into this EULA on behalf of a company or another legal entity, you represent that you have the authority to bind that entity and its affiliates to the terms and conditions of this EULA. If you do not have such authority, or if you do not agree to the terms of this EULA, do not install or use the Software.

This agreement applies only to the Software provided by MITEK, regardless of whether it refers to other software. These terms also apply to any updates, supplements, online services, or support services for the Software provided by MITEK, unless accompanied by different terms.

License Grant

MITEK grants you a non-exclusive, non-transferable right to use the MiPBX application on your Bitrix24 platform in accordance with the terms of this EULA.

You are permitted to install and use the Software within your Bitrix24 system. You are responsible for ensuring that the Bitrix24 system, browser, and related software meet the minimum requirements of the application.

You may not:

1. Modify, alter, translate, or adapt the Software in whole or in part.
2. Combine the Software with other software or integrate it into another system.
3. Reverse-engineer, disassemble, or attempt to do so.
4. Copy, redistribute, resell, or use the Software for commercial purposes beyond the scope of the license.
5. Allow third parties to use the Software on their behalf or for their benefit.
6. Use the Software in violation of any local, national, or international law.
7. Use the Software in any manner that MITEK deems to violate this EULA.

Intellectual Property

MITEK retains full ownership of the Software, including any future updates or customizations. All intellectual property rights, including copyrights and trademarks, belong to MITEK.

MITEK reserves the right to license the Software to other third parties.

Termination of Agreement

This EULA is effective from the date you begin using the Software and will remain in effect until terminated. You may terminate the agreement at any time by providing written notice to MITEK.

The agreement will also be terminated immediately if you breach any terms of this EULA. In such cases, you must cease all access to and use of the Software. Any provisions that by their nature survive termination shall remain in effect.

Governing Law

This EULA and any disputes arising from it shall be governed by and construed in accordance with the laws of the country where MITEK is legally registered and operating.
